I read this "loophole" as one that the ACC didn't specify...

meaning, they didn't specify which court/state has sovereignty to hear the matter. I would suspect that would not be the case in future contracts.

No, because (a) the contract was signed across state lines with other state institutions and (b) state sovereign immunity doesn't apply from suits brought in federal court for federal issues. States get sued all the time.

yeah, I can still remember being surprised in civics class to discover that if a mail truck runs into you, you've got to get a senator to introduce a bill to get you compensation, because otherwise, the king is inviolate.
